Terms and Conditions for Consulting, Training, and Support Services<\/h2>
(as of April 2023).<\/div>

This is a translation from the German. The German text alone is legally binding.<\/strong><\/p>

1. Contractual Basis<\/h3>

In addition to the contractual agreements, the Terms and\u00a0Conditions for Consulting, Training and Other Services in\u00a0<\/span>the version as amended at the time the contract is\u00a0<\/span>concluded and also statutory provisions apply to\u00a0<\/span>consulting, training and other services provided by imd\u00a0<\/span>professional GmbH & Co. KG (imds professional). Any\u00a0<\/span>conflicting terms and conditions or equivalent contractual\u00a0<\/span>regulations of the Contractor are deemed to have been\u00a0<\/span>waived on conclusion of the contract. imds professional\u2019s\u00a0<\/span>Terms and Conditions also apply if performance is\u00a0<\/span>rendered to the Contractor unconditionally despite\u00a0<\/span>knowledge of the Contractor\u2019s conflicting or differing terms\u00a0<\/span>and conditions.<\/span><\/p>

2. Conclusion of Contract<\/h3>

A contractual relationship does not come into effect until a\u00a0written confirmation of order has been delivered to the\u00a0<\/span>Contractor. There is no entitlement to a confirmation of\u00a0<\/span>order. The Contractor will be informed without delay if an\u00a0<\/span>order is declined.<\/span><\/p><\/div>

3. Rescission of<\/strong> Contract<\/h3>

The Contractor can rescind the contract without reason\u00a0and at no cost up until four weeks prior to the advised\u00a0<\/span>start of performance. The notice period is only allowed if\u00a0<\/span>the notice of rescission is received by imds professional\u00a0<\/span>within the specified time.<\/span><\/p>

If the notice of rescission is received by imds professional\u00a0between two and four weeks prior to the advised start of\u00a0<\/span>performance, 50% of the agreed fee will be charged as\u00a0<\/span>liquidated damages. This is without prejudice to assertion\u00a0<\/span>of additional claims for damages.<\/span><\/p>

If the notice of rescission is received by imds professional\u00a0within the final two weeks prior to the advised start of\u00a0<\/span>performance, the total agreed fee will be charged as\u00a0<\/span>liquidated damages.<\/span><\/p>

This fee cannot be set off against any subsequent\u00a0performance.<\/span><\/p>

The Contractor is liable for any costs incurred through the\u00a0rescission, in particular cancellation costs for hotel or flight\u00a0<\/span>reservations.<\/span><\/p>

If the Contractor postpones the date, 25% of the\u00a0performance fee is due as compensation.<\/span><\/p>

Assertion of additional claims for damages remains\u00a0unaffected.<\/span><\/p>

Rescission of contract is ruled out from the date of the\u00a0advised start of performance.<\/span><\/p>

imds professional may rescind the contract if unforeseen\u00a0hindrances to performance, for which imds professional is\u00a0<\/span>not liable, impede performance as it was set out in the\u00a0<\/span>order confirmation and if it is unreasonable to expect imds\u00a0<\/span>professional to overcome these hindrances. In particular,\u00a0<\/span>it can be deemed unreasonable if imds professional\u2019s\u00a0<\/span>options for changing the performance as described in their\u00a0<\/span>offer (Item 6) are not capable of eliminating the hindrance\u00a0<\/span>to performance or if imds professional has already made\u00a0<\/span>use once of appropriate options without being able to\u00a0<\/span>eliminate the hindrance to performance.<\/span><\/p>

Each rescission must be clarified in writing.<\/p>

Such cases do not entitle the Contractor to any claims for\u00a0performance not rendered, in particular not for services\u00a0<\/span>already initiated by the Contractor such as costs for\u00a0<\/span>outward travel and accommodation. Further statutory\u00a0<\/span>rights for both parties to rescind the contract remain\u00a0<\/span>unaffected by the provisions of this item in all other\u00a0<\/span>respects.<\/span><\/p>

If, after accepting the offer or placing the order,\u00a0performance is not requested within two months after the\u00a0<\/span>agreed start of performance, imds professional is entitled\u00a0<\/span>to charge the performance value for two months.<\/span><\/p><\/div>

4. Termination of Contract<\/h3>

Both parties may give notice of termination for due cause\u00a0of all executed contracts with four weeks\u2019 prior notice if\u00a0<\/span>remuneration is calculated by the hour, day or week. If\u00a0<\/span>remuneration is not calculated by units of time, the\u00a0<\/span>contract can be terminated by observing four weeks\u2019\u00a0<\/span>notice to the end of the calendar quarter. The statutory\u00a0<\/span>notice periods for terminating contractual relationships\u00a0<\/span>apply (Section 621 German Civil Code [BGB]) in all other\u00a0<\/span>respects. Termination prior to the advised date for start of\u00a0<\/span>performance is excluded. The right to termination without\u00a0<\/span>prior notice for good cause remains unaffected.<\/span><\/p>

5. Performance by imds professional<\/h3>

imds professional renders performance in accordance\u00a0with the order confirmation and provides sufficiently\u00a0<\/span>qualified staff to do so. imds professional is entitled to use\u00a0<\/span>third parties to fulfil its contractual liabilities.<\/span><\/p>

6. Changes to the Performance stated in the Offer<\/strong><\/h3>

Substantive deviations from the order confirmation are\u00a0permitted unconditionally provided imds professional\u00a0<\/span>observes the objective of the order.<\/span><\/p>

imds professional may replace a designated instructor or\u00a0consultant provided the new instructor or consultant has\u00a0<\/span>the required expertise.<\/span><\/p>

imds professional may change the stipulated performance\u00a0date at its discretion if imds professional is not liable for\u00a0<\/span>impossibility of performance at the agreed time. This\u00a0<\/span>applies in particular if\u00a0<\/span>a) the designated instructor or consultant is prevented at\u00a0<\/span>short notice from rendering performance, or\u00a0<\/span>b) performance becomes impossible at the agreed\u00a0<\/span>location at short notice.<\/span><\/p>

If performance concerns execution of service projects,\u00a0imds professional may make changes to the time of\u00a0<\/span>performance without restriction, if imds professional is not\u00a0<\/span>liable for the delay.<\/span><\/p><\/div>

7. Time of Performance<\/h3>

Performance by imds professional commences when the\u00a0instructor or consultant first appears at the agreed place\u00a0<\/span>and time of performance. This also applies if imds\u00a0<\/span>professional makes documents available before the start\u00a0<\/span>of performance.<\/span><\/p>

Performance by imds professional concludes at the end of\u00a0the day on which the final part performance required in\u00a0<\/span>accordance with the order confirmation has been\u00a0<\/span>rendered.<\/span><\/p>

If the subject of performance is the execution of service\u00a0projects performance begins at the agreed date for the\u00a0<\/span>start of the project and ends with the completion of the\u00a0<\/span>agreed scope of services or with the agreed project end\u00a0<\/span>date.<\/span><\/p>

8. Place of Performance<\/strong><\/h3>

Place of performance is imds professional GmbH & CO.\u00a0KG in Weilrod (Germany), unless otherwise stated.<\/span><\/p><\/div>

9. Cooperation by the Contractor<\/h3>

Notwithstanding any contractual agreements in an\u00a0individual case, the Contractor shall without remuneration\u00a0<\/span>assist imds professional in rendering performance. In this\u00a0<\/span>regard, the Contractor shall create within its area of\u00a0<\/span>operation in particular all necessary conditions so that\u00a0<\/span>imds professional can render performance in accordance\u00a0<\/span>with the contract without a need to carry out further\u00a0<\/span>preliminary work. This includes planning and organizing\u00a0<\/span>any necessary preparatory training for their own\u00a0<\/span>employees who will be participating and informing imds\u00a0<\/span>professional in good time about the level of previous\u00a0<\/span>knowledge that these employees have.<\/span><\/p>

The Contractor is responsible for providing the information\u00a0in terms of correctness and required timing. This applies\u00a0<\/span>both to all information that the Contractor must provide\u00a0<\/span>itself and to information that must be provided by his\u00a0<\/span>suppliers. Incorrect, delayed or missing information – even\u00a0<\/span>if this is the responsibility of the Contractor\u2019s suppliers –\u00a0<\/span>represents a project risk. If a project cannot be completed\u00a0<\/span>or cannot be completed in time due to missing or wrong\u00a0<\/span>information, imds professional is in any case entitled to\u00a0<\/span>charge for their expended services. In such cases the\u00a0<\/span>client cannot refer to the fact that the project goal was\u00a0<\/span>reached too late, only partially or not at all.<\/span><\/p>

Further, the Contractor shall appoint a contact person who\u00a0is authorized to make a declaration of intent if such a\u00a0<\/span>declaration is required for the rendering and continuation\u00a0<\/span>of performance.<\/span><\/p>

If third-party usufructs, exploitation rights or similar rights\u00a0are required for performance, the Contractor shall obtain\u00a0<\/span>them in good time and confirm the availability of all\u00a0<\/span>required rights with imds professional.<\/span><\/p><\/div>

10. Property Rights and Copyrights<\/h3>

All documents transferred by imds professional or other\u00a0tangible or intangible objects supplied by imds\u00a0<\/span>professional that may be protected by property rights,\u00a0<\/span>remain in its ownership until the agreed fees have been\u00a0<\/span>paid in full.\u00a0<\/span>If copyright works (Sections 2 et seq. German Copyright\u00a0<\/span>Law) are transferred to imds professional in connection\u00a0<\/span>with rendering of performance, these are also routinely\u00a0<\/span>protected by copyrights. Therefore, any works transferred\u00a0<\/span>to imds professional may only be used in conjunction with\u00a0<\/span>rendering of performance. Any duplication, dissemination\u00a0<\/span>or use beyond the scope of the contract is prohibited.<\/span><\/p>

If course material is created in connection with rendering\u00a0of performance (e.g. descriptions, translations, drawings),\u00a0<\/span>all property rights and copyrights are transferred\u00a0<\/span>exclusively to imds professional. Insofar as imds\u00a0<\/span>professional owns the corresponding rights, imds\u00a0<\/span>professional grants the Contractor a non-exclusive, nontransferrable\u00a0<\/span>usufruct for an unlimited time for internal\u00a0<\/span>use, with the exception of internal use for educational\u00a0<\/span>purposes. In the case of affiliated companies, only use\u00a0<\/span>within the contracting company is regarded as internal\u00a0<\/span>use.<\/span><\/p><\/div>

11. Remuneration<\/strong><\/h3>

imds professional\u2019s entitlement to the agreed\u00a0remuneration takes effect when the order confirmation is\u00a0<\/span>delivered to the Contractor.<\/span><\/p>

Remuneration becomes due routinely when the invoice is\u00a0delivered to the Contractor and is payable without\u00a0<\/span>deduction within 10 calendar days from the date given in\u00a0<\/span>the invoice. The invoice amount shall be paid in full; any\u00a0<\/span>bank charges shall be borne by the recipient of the\u00a0<\/span>invoice. Reimbursement of any bank charges borne by\u00a0<\/span>imds professional will be requested. No cash discounts\u00a0<\/span>are granted.<\/span><\/p>

Invoices are issued routinely once imds professional has\u00a0completed performance. If rendering of performance lasts\u00a0<\/span>longer than one month, invoices are issued on a monthly\u00a0<\/span>basis.<\/span><\/p>

The specified remuneration does not include statutory\u00a0value-added tax.<\/span><\/p>

When awarding the contract\/placing the order, the correct\u00a0addressee for the invoice must be given. Amendments to\u00a0<\/span>invoices that are required due to incorrect details for the\u00a0<\/span>invoice recipient are subject to a fee of EUR 90 (net).<\/span><\/p><\/div>

12. Default of Payment\/Interest on Arrears<\/strong><\/h3>

If the Contractor fails to make payment within the term of\u00a0payment, they are in default of payment. Payment\u00a0<\/span>reminders are not necessary on the part of imds\u00a0<\/span>professional as the invoice is to be delivered prior to\u00a0<\/span>payment and a reasonable time for payment is given that\u00a0<\/span>is calculated from the invoice date according to the\u00a0<\/span>calendar.<\/span><\/p>

The Contractor shall pay interest on arrears amounting to\u00a08 percentage points annually over the base rate of interest\u00a0<\/span>and late charges for the duration of the delay in payment.<\/span><\/p>

Further assertion of statutory rights in the case of arrears\u00a0remains unaffected.<\/span><\/p><\/div>

13. Limitation of Liability for imds professional<\/h3>

imds professional is only liable for damages that are due\u00a0to gross negligence or intent by imds professional, one of\u00a0<\/span>its legal representatives or vicarious agents.<\/span><\/p>

Any claim for damages is limited to contractual volume as\u00a0regards the amount of loss except where this is not\u00a0<\/span>contradicted by mandatory statutory provisions.<\/span><\/p>

If the damages are injuries to the life, limb or health of an\u00a0individual, the statutory provisions shall apply.<\/span><\/p>

imds professional is in particular not liable for a\u00a0breakdown in telecommunications equipment,\u00a0<\/span>telecommunications lines and networks, or for indirect or\u00a0<\/span>direct consequences of such a breakdown, insofar as the\u00a0<\/span>equipment, lines or networks are maintained by a third\u00a0<\/span>party.<\/span><\/p>

imds professional bears no responsibility for passing\u00a0examinations or issuing of certificates as a consequence\u00a0<\/span>of rendering of performance.<\/span><\/p>

imds professional is not liable for advice given, information\u00a0provided or the use or the applicability of acquired\u00a0<\/span>knowledge.<\/span><\/p>

imds professional is not liable for damages that are\u00a0caused by viruses at the Contractor\u2019s or at third parties,\u00a0<\/span>insofar as the damage was not caused through gross\u00a0<\/span>negligence or intent by imds professional, its legal\u00a0<\/span>representatives or vicarious agents.<\/span><\/p>

imds professional is not liable for damages that result as a\u00a0direct or indirect consequence of unauthorized access by\u00a0<\/span>a third party to the Contractor\u2019s or third parties\u2019\u00a0<\/span>telecommunications or data processing systems.<\/span><\/p>

imds professional is not liable for supplying information\u00a0about prices for third-party services.<\/span><\/p>

If the contractual performance consists of data input\u00a0(IMDS-System), imds professional is solely liable for\u00a0<\/span>delays that are the result of gross negligence or intent by\u00a0<\/span>imds professional, its legal representatives or vicarious\u00a0<\/span>agents.<\/span><\/p>

14. Non-solicitation Clause<\/strong><\/h3>

The Contractor undertakes not to solicit any of imds\u00a0professional\u2019s employees, including freelancers, or to\u00a0<\/span>assist third parties in doing so. This agreement applies\u00a0<\/span>from the time of conclusion of the contract until one year\u00a0<\/span>after completion. The Contractor undertakes to pay a\u00a0<\/span>contractual penalty of 15,000 Euro to imds professional for\u00a0<\/span>each violation of the non-solicitation clause. Assertion of\u00a0<\/span>additional claims by imds professional remains unaffected.<\/span><\/p><\/div>

15. Governing Law and Jurisdiction<\/strong><\/h3>

The contractual relationship and its execution shall be\u00a0governed exclusively by the laws of the Federal Republic\u00a0<\/span>of Germany.<\/span><\/p>

The local competent court for the registered offices of\u00a0imds professional is competent for any legal disputes\u00a0<\/span>arising from this contract.<\/span><\/p><\/div>

16. Data Protection<\/h3>

imds professional, in relation to Section 33 of the German\u00a0General Data Protection Regulation (BDSG), points out\u00a0<\/span>that personal data are collected, used, stored and\u00a0<\/span>processed as part of conclusion and execution of the\u00a0<\/span>contract, also by third parties.<\/span><\/p>
